2. Description of Services

IntuaSite, operated by IntuaSite LLC, provides the following services through our website and direct engagements:

• Website Design and Build: Done for you website design, build, hosting, security, and backups for local service businesses.
• Spoken Updates: The IntuaSite update service, in which you describe a change out loud, review a draft on a private copy of your site, and publish it yourself.
• Findability Services: The monthly findability check, structured data, and search and AI visibility reporting, at the level included in your plan.
• Interactive Tools: The AI Visibility Snapshot, the readability check, and other demonstration tools available on our website.

3. Account Registration

Some features of our website may require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share them with others.
• Promptly update your information if it changes.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these terms or are used for unauthorized purposes.

4. Acceptable Use

You agree to use our website and services only for lawful purposes. You may not:

• Use our services to violate any applicable local, state, national, or international law or regulation.
• Attempt to gain unauthorized access to our systems, servers, or other users' accounts.

• AI-Generated Content: Outputs from our AI tools are generated by artificial intelligence and may not always be accurate, complete, or suitable for your specific situation. AI outputs should not be considered professional advice.
• Demo Limitations: Interactive demonstrations are provided to showcase capabilities and may have usage limits, reduced functionality, or be modified or discontinued at any time.
• No Guarantee of Results: Results shown in demos, snapshots, and readability checks are illustrative. We do not control whether any search engine or AI assistant mentions your business, and actual results will vary based on your specific business circumstances.
• Nothing Publishes Without Your Approval: Drafts generated from your spoken updates are written to a private copy of your site. Your live site does not change until you approve and publish.
• Document Processing: Documents uploaded to demo tools are processed for demonstration purposes only. Do not upload confidential, proprietary, or sensitive documents unless under a formal service agreement with appropriate confidentiality protections.

6. Intellectual Property

All content on the IntuaSite website, including text, graphics, logos, images, software, methodologies, frameworks, and the IntuaSite platform, is the property of IntuaSite LLC or its licensors and is protected by intellectual property laws.

• Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use our website for personal or internal business evaluation purposes.
• Restrictions: You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from our website without prior written consent.
• Trademarks: "IntuaSite" and associated logos are trademarks of IntuaSite LLC. Use of these marks without authorization is prohibited.
• Your Content: You retain ownership of content you submit through our tools and forms, and of the content of your own website. By submitting content, you grant us a limited license to use it for the purpose of providing our services.

7. Build and Professional Services

Formal engagements (site builds, migrations, multi location rollouts, and similar work) are governed by separate service agreements that will be provided before work begins. These agreements will detail:

• Scope of work, deliverables, and timelines.
• Fees, payment schedules, and refund policies.
• Confidentiality and non-disclosure obligations.
• Ownership of work product and deliverables.

In the event of a conflict between these Terms of Service and a separate service agreement, the service agreement will prevail for that engagement.

8. Payment Terms

Subscription plans are billed monthly or yearly in advance, as selected at checkout, and renew automatically until cancelled. A one time setup fee is set by your scope of work and is invoiced separately. General payment policies include:

• Invoices are due within the timeframe specified in your service agreement (typically Net 15 or Net 30).
• Late payments may incur interest charges as specified in your service agreement.
• We reserve the right to suspend services for accounts with overdue balances.
• Cancellation: Subscriptions renew automatically until you cancel. Cancellation takes effect at the end of the period you have already paid for, so your service continues to that date and you are not billed again.
• Refunds: Payments already made are not refunded, including any unused portion of a yearly prepayment.
• Setup fee: The one time setup fee is not refundable, including if you cancel before your site launches.

9. Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied.

To the fullest extent permitted by law, IntuaSite disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
• Warranties regarding the accuracy, reliability, or completeness of AI-generated content or outputs.

Statistics, example results, and visibility projections presented on our website are illustrative and are not guarantees of future results. Nobody controls whether a search engine or an AI assistant mentions a given business, and individual outcomes depend on many factors specific to each business.

10. Limitation of Liability

To the maximum extent permitted by applicable law, IntuaSite and IntuaSite LLC, including its officers, directors, employees, and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services, including but not limited to:

• Loss of profits, revenue, data, or business opportunities.
• Reliance on AI-generated content, recommendations, or outputs.
• Interruption or unavailability of our website or services.
• Unauthorized access to or alteration of your data.

Our total liability for any claim arising under these terms shall not exceed the amount you paid to IntuaSite for services in the twelve (12) months preceding the claim, or $500, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless IntuaSite, IntuaSite LLC, and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of our website or services, your violation of these terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your access to our website and services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use our website and services will immediately cease.
• Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will remain in effect.
• Active engagements will be governed by their separate service agreements.

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be resolved in the state or federal courts located in Grand Traverse County, Michigan.

Both parties agree to attempt to resolve any disputes through good-faith negotiation before pursuing formal legal proceedings.

14. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of our website after changes are posted constitutes your acceptance of the updated terms. We encourage you to review these terms periodically.
